Terms of Service

01. Acceptance of Terms

By creating an account, accessing, or using Builderthread (the "Service"), operated by Builderthread ("we", "our", or "us"), you agree to be legally bound by these Terms of Service. If you do not agree to these terms, you must not use or access the Service.

02. Description of Services

Builderthread is a Spec-Driven Development (SDD) workspace designed to keep software specifications and AI coding agents aligned. Key capabilities include:

• Market Signal Synthesis: Ingesting reference URLs and public market demand signals (Reddit, G2, Trustpilot) to identify user pain points and product opportunities.
• Living PRD & Kanban Generation: Generating structured, version-controlled product requirements documents and actionable task boards.
• Next-Prompt Engine: Producing scoped, copy-ready prompt packets tailored for target coding agents (Cursor, Claude Code, v0, Copilot, Bolt).
• Context File Sync & MCP Gateway: Generating and synchronizing agent context files (AGENTS.md, CLAUDE.md, .cursorrules) and serving Model Context Protocol endpoints.
• Starter Repo Scaffolding: Providing stack recommendations and scaffolding runnable, production-grade starter codebases and optional private GitHub repositories.
• Build Momentum: Tracking commit activity, PR merges, and milestone delivery against connected repositories.

03. Intellectual Property & Ownership

You own 100% of your work. You retain all right, title, and interest in and to any project specifications, generated Living PRDs, Kanban task boards, custom prompt configurations, and source code generated or exported through Builderthread.

Builderthread claims no ownership, copyright, or licensing stake in the SaaS applications, commercial products, or proprietary codebases you build using our platform.

04. Starter Repositories & Production Readiness

Starter repositories generated by Builderthread serve as architectural foundations. While structured according to modern production standards:

• Starter templates are provided as foundational scaffolds, not fully configured production services.
• You are solely responsible for securing environment variables, API secret keys, authentication providers, payment webhooks, database credentials, and compliance before launching to real end users.
• Builderthread is not liable for security misconfigurations, data loss, or server downtime resulting from deployed starter code.

05. AI Output & Third-Party LLM Disclaimers

Builderthread utilizes large language models (including Anthropic, OpenAI, and Google Gemini) to assist in drafting specifications, stack recommendations, and task steps.

• AI-generated outputs are predictive and should be reviewed and verified by a human developer before execution.
• We do not guarantee that AI-generated specifications, architecture choices, or prompts will be completely bug-free, error-free, or compliant with third-party platform policies.

06. GitHub & Third-Party Integrations

When you connect your GitHub or Discord account, you represent that you have the necessary authority to grant Builderthread access to your accounts. You may disconnect or revoke permissions at any time via your account settings.

07. Subscriptions & Merchant of Record

Builderthread offers one-time packages (Research Pass) and recurring subscription tiers (Builder, Pro, Studio):

• Merchant of Record: Our order process is conducted by our online reseller and Merchant of Record, Polar (Polar Software Inc., polar.sh). Polar acts as the merchant of record for all our orders, providing customer support, billing inquiries, and handling applicable local tax (VAT/GST) collection.
• Billing Cycles & Automatic Renewal: Subscriptions are billed in advance on a recurring monthly or annual basis. Subscriptions renew automatically unless canceled prior to the renewal date.
• Easy Cancellation: You may cancel your subscription at any time with 1-click through the self-service Polar Customer Portal accessible in your account settings. Cancellations take effect at the conclusion of the active billing period, and no further charges will occur.
• Usage Allowances: Monthly allocations for Living PRD generations, research refreshes, and workspace seats reset each billing cycle.

08. Acceptable Use Policy

You agree not to use Builderthread to:

• Violate applicable local, state, national, or international laws or regulations.
• Infringe upon the intellectual property, trademark, or proprietary trade secrets of any third party.
• Reverse-engineer or attempt to extract source code from proprietary, closed-source software without authorization.
• Abuse, disrupt, or overburden our servers, APIs, or infrastructure.

09. Limitation of Liability & Warranty

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. IN NO EVENT SHALL BUILDERTHREAD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS REPUTATION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
